That is a broad question.  Basically you need to have a 2005 SQL server.  What specificly are you looking for.  Server types like 2003 ?

WSUS instead of ITMU
Better Remote control feature
Ability to have SCCM rerun advs that failed the first time (eliminates dynamic collections)
Wake on Lan feature
Secure connectivty in Native mode
SCCM can talk to clients over the internet without the need of a VPN

these things....

These are the two reasons we are holding off upgrading.  The rest of the items listed are why we would like to upgrade.  Unuseable remote control for the moment is what is holding our upgrade.  The switch to WSUS, while lamentable, is not a deal breaker.  We would also take advantage of the new branch distribution points, and the switch of OSD to WinPE 2.0 is also highly desireable.

Yes remote control is just like you had in XP, they have redone the code so now it is secure, SMS wasn't.
Wake on lan Will work on a VLAN, but you must has it configured to allow the Magic Packet.

I need to find the MS docs that say what improvements have been done in what area, that might be better for you.

Remote control in SCCM will only remote control a machine if there is a user logged in.  If the machine is sitting at a ctrl-alt-delete screen, as it would be if you remotely turned it on, then SCCM will fall back to RDP.  This means that you must have RDP enabled on all your systems if you want to allow remote control.  RDP sessions are not centrally logged as they are with the SMS Remote tool.  If you have RDP enabled on your systems, then the user doesn't need to go through the SMS remote tool at all, he/she can just RDP into any computer bypassing any SMS authorization for remote control.

Turning on RDP in many organizations is a fairly large security hurdle, and it is required for SCCM if you want to remote systems where there is no active user.

So, why should I upgrade to SCCM from SMS 2003? Is there a real stand out feature that the new version has the SMS doesn't do?

Task Sequences.  no mofcomp when extending inventory. Software Updates (instead of ITMU). Branch DPs. DCM.  Native mode.

People have their favorite new thing; but I think I hear the most "that's cool" type of reactions when people start using Task Sequences.

Now with the integration for App V and SQL Reporting Services there are more improvements.  R2 also has Client Reporting Status role.
WOL and AMT control have also been added.
